Plain-language summary (not a substitute for the terms below): PT-TAKEOFF produces quantity takeoffs from the drawings you upload. The output is an engineering aid, not a certified bill of quantities — you are responsible for reviewing and verifying every quantity before you rely on it. Plans are billed monthly through Paddle.
These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or "Customer") and [LEGAL_NAME] ("we", "us", "our"), the operator of the PT-TAKEOFF service available at www.pttakeoff.com (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
PT-TAKEOFF allows you to upload post-tensioning ("PT") drawings in PDF format and receive a quantity takeoff, delivered as a Microsoft Excel workbook (with formulas) and a PDF extract. Quantities are computed by deterministic software from the content you provide; an artificial-intelligence component is used to transcribe the tendon register from your drawings. Each output line is provided with a drawing reference and a confidence indicator (HIGH, MEDIUM, or LOW).
2. Not engineering advice; your responsibility to verify
The Service is a productivity tool that assists with quantity takeoff. It does not provide engineering, design, or professional advice, and its output is not a certified, stamped, or contractual bill of quantities. You are solely responsible for independently reviewing, checking, and verifying all output before relying on it for tendering, procurement, construction, or any other purpose. Confidence indicators and the Verify worksheet are aids to your review and do not transfer responsibility to us. A qualified professional must exercise their own judgement over any quantity used in practice.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.
4. Your content and rights to use it
You retain all ownership of the drawings, files, and other materials you upload ("Customer Content"). You grant us a limited, non-exclusive licence to host, process, and transmit Customer Content solely to operate and provide the Service to you. You represent and warrant that you have all necessary rights to upload the Customer Content and to permit this processing, and that doing so does not infringe any third party's rights or breach any obligation of confidentiality you owe to another party (for example, an employer or client).
5. Acceptable use
You agree not to: (a) upload content you are not authorised to share; (b) attempt to reverse engineer, disrupt, or gain unauthorised access to the Service; (c) use the Service to build a competing product; (d) exceed documented limits (including a maximum of 30 sheets per takeoff) or circumvent usage metering; or (e) use the Service in violation of any applicable law.
6. Plans, credits, and usage
The Service is offered on monthly subscription plans, each including a set number of takeoffs per billing period, as described on our Pricing page. One "takeoff" is one processed submission of up to 30 drawing sheets producing one workbook and one PDF extract. Included takeoffs reset each billing period and do not roll over. Additional takeoffs ("top-ups") may be purchased at the published rate and remain available until used. New accounts receive one free trial takeoff.
7. Billing, payment, and reseller
Payments for the Service are processed by Paddle.com Market Limited and its affiliates ("Paddle"), which act as the Merchant of Record and authorised reseller of the Service. Your purchase is therefore also subject to Paddle's buyer terms. Paddle handles payment, invoicing, and the collection and remittance of any applicable taxes. Subscriptions renew automatically each period until cancelled. Prices are stated in US dollars and exclusive of taxes that Paddle is required to collect; the total payable is shown at checkout.
8. Cancellation and refunds
You may cancel your subscription at any time; access continues until the end of the current billing period. Refunds are governed by our Refund Policy, which forms part of these Terms.
9. Availability
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features from time to time. Planned and unplanned downtime may occur.
10. Intellectual property
The Service, including its software, design, and content (excluding Customer Content), is owned by us or our licensors and is protected by law. These Terms grant you no rights in the Service other than the limited right to use it in accordance with these Terms.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that any quantity produced by the Service is correct, complete, or suitable for any particular use.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or its output. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid for the Service in the three (3) months preceding the event giving rise to the claim, or (b) USD 50. Nothing in these Terms excludes liability that cannot be excluded by law.
13. Indemnity
You agree to indemnify and hold us harmless from any claim arising out of your Customer Content, your use of the Service, or your breach of these Terms.
14. Termination
We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. You may stop using the Service and close your account at any time.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of [GOVERNING_LAW_JURISDICTION], without regard to conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction, subject to any mandatory consumer protections available to you.
